Terms of Service

These Terms of Service are an agreement between you and VPods Inc. for the Nexgentic Delivery Team product. They cover accounts, Stripe billing, agent execution, and the GitHub, AWS, Teams, and Bedrock integrations you enable. They are a product agreement, not legal advice.

01Agreement

These Terms of Service (“Terms”) are an agreement between you and VPods Inc. (“VPods”, “we”, “us”) for access to https://vpods.ca and the Nexgentic Delivery Team product (the “Service”). By creating an account, starting checkout, or using the Service, you accept these Terms.

If you use the Service on behalf of a company, you confirm that you have authority to bind that company. If you do not agree, do not use the Service.

02The Service

VPods provides subscribed agent pods that plan, code, run CI/CD, and operate in tools you connect. Features, capacity, and included agents depend on the plan or pod bundle you purchase.

Agents may write code, open GitHub commits, update boards, join Microsoft Teams meetings, and deploy into your AWS account when you grant those connections. Outputs can be wrong, incomplete, or insecure. You must review them before you ship.

We may change, suspend, or discontinue parts of the Service. Material changes will be noticed as described below. Preview features may change without notice.

03Eligibility and accounts

You must be at least 18 years old. The Service is for organizations and adult operators, not for children.

  • Provide accurate account information and keep credentials confidential
  • You are responsible for activity under your account, including seats you invite
  • We may refuse, suspend, or close an account that is abusive, unpaid, or a security risk

04Plans, billing, and taxes

Paid plans and pod bundles are billed through Stripe. There is no free tier and no trial. Access requires an active paid subscription. Prices, included agents or seats, and renewal terms are shown at checkout and on the pricing page. Unless a listing says otherwise, fees are in US dollars and billed in advance.

  • Subscriptions renew until you cancel
  • Trialing, past_due, unpaid, paused, or canceled subscriptions grant no agents and no credits
  • Cancellation stops future renewals and freezes leftover credits; it does not refund time already billed unless required by law or we agree in writing
  • Chargebacks without first contacting us may result in suspension
  • You are responsible for applicable taxes. Stripe and VPods may collect tax where required

05Your content and agent processing

You retain rights in prompts, code, documents, meeting context, and other material you submit (“Customer Content”). You grant VPods a limited license to host, process, and display Customer Content solely to operate the Service for you.

Code agents produce is written to your GitHub repository when that integration is enabled. Infrastructure they provision lives in your AWS account. VPods does not claim ownership of that Customer Content.

The Service sends Customer Content to model providers, including Amazon Bedrock (Claude), and to tools you enable. Bedrock’s then-current terms apply to that processing. See the Privacy Policy for storage locations and retention.

You are responsible for licenses, confidentiality, export rules, and compliance of Customer Content you upload or connect.

06Integrations

You choose which third-party services to connect. Each provider’s terms apply in addition to these Terms.

  • GitHub: we read and write repositories you authorize
  • AWS: agents act in accounts you connect, under IAM you control
  • Microsoft Teams: agents may join meetings and use transcripts while a run is active
  • Stripe: processes payment and invoices; VPods does not store card numbers
  • Amazon Bedrock: hosts model inference for agent reasoning

If you revoke an integration, related features stop. We are not responsible for a provider’s outage, policy change, or data handling.

07Acceptable use

You may not use the Service to:

  • Attack systems you do not own or have permission to test
  • Generate malware or exploit payloads
  • Process unlawful content
  • Extract model weights or hidden system prompts at scale
  • Circumvent billing, rate limits, or access controls
  • Resell the Service as a competing hosted product without a written agreement
  • Scrape the site in a way that impairs other customers

08Intellectual property

VPods, the site, and the orchestration software remain our property. These Terms do not transfer our trademarks or source code to you.

Subject to payment of fees, we grant you a non-exclusive license to use the Service during your subscription. Feedback you send may be used to improve the product without obligation to you.

09Confidentiality

Each party will protect the other’s non-public information with reasonable care and use it only to perform under these Terms. This does not cover information that is public, independently developed, or required to be disclosed by law.

10Disclaimer

The Service is provided “as is.” We do not warrant that outputs are correct, that the Service will be uninterrupted, or that it will meet a particular purpose. Some jurisdictions do not allow certain disclaimers; those limits apply only to the extent required.

11Limitation of liability

To the maximum extent allowed by law, VPods is not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, data, or goodwill.

Our total liability for claims arising out of the Service is limited to the fees you paid us for the Service in the three months before the claim. These limits do not apply to liability that cannot be limited under applicable law.

12Cancellation and termination

You may stop using the Service and cancel your subscription at any time. Access ends when cancellation takes effect.

  • For 30 days after closure you may request an export of VPods-held account data
  • Execution logs are deleted on the schedule in the Privacy Policy
  • GitHub and AWS resources remain under your control
  • We may terminate or suspend access for material breach, non-payment, or legal risk

13Governing law

These Terms are governed by the laws of the Province of Quebec and the federal laws of Canada that apply there, without regard to conflict-of-law rules. Courts in Montreal, Quebec have exclusive jurisdiction, except that we may seek injunctive relief anywhere to protect the Service.

14Changes

We may update these Terms. The “Last updated” date will change. Material changes receive 30 days’ notice by email when we have an address. Continued use after the effective date is acceptance of the revised Terms.
